Terms and conditions.

Agreement to terms

By accessing or using the services of Rio Grande Websites ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

Services

Rio Grande Websites provides web design, web development, website redesign, local SEO setup, and ongoing website maintenance services to small businesses. The specific scope of services for each project will be outlined in a separate project agreement or proposal signed by both parties.

Project agreements

All projects require a signed project agreement before work begins. The project agreement will outline:

  • The specific scope of work
  • Project timeline and milestones
  • Total cost and payment schedule
  • Number of revision rounds included
  • Ownership and transfer of deliverables

In the event of any conflict between these Terms and a signed project agreement, the project agreement will take precedence.

Payment terms

Deposit: A non-refundable deposit of 50% of the total project cost is due before any work begins. Work will not commence until the deposit has been received and cleared.

Final payment: The remaining 50% balance is due upon project completion, prior to the transfer of website files, domain configuration, or site launch.

Late payments: If final payment is not received within 14 days of project completion, Rio Grande Websites reserves the right to suspend or remove the completed website until payment is made in full.

Payment plans: Where agreed in writing, payment plans may be arranged. Failure to meet any instalment payment may result in work being paused until payments are brought current.

Revision policy

Each project includes two (2) rounds of revisions as standard. A revision round is defined as a consolidated set of changes submitted in a single communication. Additional revision rounds beyond those included will be billed at $75 per hour.

Revisions are limited to changes within the original agreed scope. Requests that significantly alter the original scope will be treated as new work and quoted separately.

Client responsibilities

To allow us to complete your project on time, you agree to:

  • Provide all required content, images, logos, and materials by agreed deadlines
  • Respond to requests for feedback and approvals in a timely manner
  • Designate a single point of contact for project communications

If a client is unresponsive for 30 or more consecutive days, Rio Grande Websites reserves the right to close the project. In such cases, the deposit will not be refunded.

Ownership and intellectual property

Upon receipt of full and final payment, the client will own all rights to the completed website design and its content as outlined in the project agreement.

Until full payment is received, Rio Grande Websites retains all rights to the work produced.

Rio Grande Websites reserves the right to display completed work in its portfolio and use it for promotional purposes unless the client requests otherwise in writing.

Third-party assets (stock photos, fonts, plugins, frameworks) remain subject to their respective licenses and are not transferred as owned assets.

Hosting and maintenance

Unless otherwise agreed in writing, Rio Grande Websites is not responsible for hosting, domain registration, or ongoing maintenance after project delivery unless the client has subscribed to a maintenance retainer.

Maintenance retainer services are governed by a separate agreement and may be cancelled by either party with 30 days written notice.

Warranties and disclaimers

Rio Grande Websites warrants that all work will be completed professionally and to the agreed specifications. We do not guarantee specific results such as search engine rankings, website traffic, or business outcomes.

All services are provided "as is" without warranty of any kind beyond what is expressly stated in the project agreement.

Limitation of liability

To the fullest extent permitted by law, Rio Grande Websites shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to our services, including but not limited to loss of revenue, loss of data, or business interruption.

Our total liability to any client shall not exceed the total amount paid by that client for the specific project giving rise to the claim.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project and not to disclose it to third parties without prior written consent.

Governing law

These Terms and Conditions are governed by the laws of the State of New Mexico, United States. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Doña Ana County, New Mexico.

Changes to terms

We reserve the right to update these Terms and Conditions at any time. Changes will be posted on our website with an updated date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
